Terms of Sale
These Terms of Sale govern the subscription to and billing of the paid Diffusons plans.

1. Purpose and scope
These Terms of Sale (« CGV ») govern the sale of subscriptions to the Diffusons service published by the company IXYS (“the Publisher”). They supplement the Terms of Use. Any subscription to a paid plan entails unreserved acceptance of these Terms of Sale.
2. Plans and features
The Service is offered in the form of subscriptions (in particular the Solo, Studio and Agency (« Agence ») plans), the detailed features, quotas and prices of which are presented on the Pricing page. The Publisher reserves the right to change the content of the plans, such changes applying only to future subscription periods.
3. Free trial
Some plans may be tried free of charge, without a bank card or commitment; the plans concerned and the length of their trial are stated on the Pricing page. At the end of the trial period, access to the plan's features ceases unless a paid subscription is taken out. No amount is charged during the trial.
4. Prices
- Prices are stated in euros and are exclusive of tax (« HT »); the applicable VAT is added where relevant.
- Subscriptions are offered with monthly or annual billing, at the User's choice.
- The number of publications actually sent to the channels during the month is counted against the plan's quota. Drafts, publications that are merely scheduled, the text library and imports are never counted.
- No overage is billed after the fact. When a monthly quota is reached, the action is blocked and the User is informed: they then choose whether to purchase an à-la-carte option or to move to a higher plan. No amount is charged without the User's express subscription.
- Recurring options extend the subscription's quotas each month and are billed together with it, from the period following their purchase. One-off packs are a single purchase; the corresponding balance is credited upon payment of the invoice and carries over from month to month until used up. 5. Payment terms
Payment is made by the means offered at the time of subscription. Subscriptions are payable in advance, upon subscription and then at each renewal of the period. In the event of non-payment or a rejected payment, the Publisher may suspend access to the Service after informing the User.
6. Term, renewal and change of plan
- The subscription is entered into for the chosen period (monthly or annual) and is automatically renewed (« tacite reconduction ») for an identical period.
- The User may change plan at any time, upwards or downwards; the change takes effect immediately, with a pro-rata calculation.
7. Termination
The User may cancel their subscription at any time from their account area or by contacting the Publisher. Cancellation takes effect at the end of the current period; amounts already paid for the period under way are not refunded, unless otherwise provided by law. The Publisher may terminate the subscription in the event of a breach by the User of their obligations, under the conditions set out in the Terms of Use.
8. Right of withdrawal
In accordance with article L.221-28 of the French Consumer Code (« Code de la consommation »), where the User acts as a consumer, they may waive their right of withdrawal in order to benefit from immediate access to the Service. By requesting immediate provision of the Service, the User acknowledges waiving their right of withdrawal for the part of the service already performed. This right does not apply to professionals acting in the course of their business.
9. Availability and service level
The Publisher uses reasonable means to ensure the continuity and security of the Service, without guaranteeing the complete absence of interruptions. Maintenance operations are, as far as possible, scheduled so as to limit the inconvenience to the User.
10. Liability
The Publisher's liability, for all losses combined, is limited to the amount of the sums actually paid by the User over the twelve (12) months preceding the event giving rise to liability (« fait générateur »). The Publisher cannot be held liable for indirect or consequential loss (« dommages indirects ») or for the consequences of the decisions of third-party platforms with regard to the User's accounts.

12. Governing law and disputes
These Terms of Sale are subject to French law. In the event of a dispute, a consumer User may have recourse, free of charge, to a consumer mediator (« médiateur de la consommation »). Failing an amicable resolution, the French courts shall have exclusive jurisdiction.
